Terms of Service

These terms govern your access to italyondemand.eu and the related SaaS application provided by Italy On Demand S.r.l. By using the service you accept them.

1. Definitions

  • Provider = Italy On Demand S.r.l., registered office Via Ponte Vetero 11, 20121 Milan (MI), Italy, VAT no. IT13796560962.
  • Service = the marketing site at italyondemand.eu and the SaaS application for restaurant ordering, reservations, and POS integration.
  • Customer = the restaurant or hospitality business that signs up for the SaaS application.
  • Guest = an end-customer of the Customer who places an order through the QR/NFC interface.
  • User = any natural person browsing the marketing site or using the application.

2. The service

The Provider grants the Customer a non-exclusive, non-transferable licence to use the Service for the duration of the active subscription. The Service is provided as software-as-a-service from EU infrastructure; the Provider is not obliged to deliver source code or local installations.

The marketing site is informational and is provided without contractual commitment until the Customer subscribes to the SaaS application. Joining the waitlist does not create a contract.

Specific service levels (uptime, response time, scheduled maintenance) will be defined in the Master Subscription Agreement signed at sign-up. During the private beta the service is provided 'as is' without SLA.

3. Account and credentials

The Customer creates one or more user accounts (owner, manager, staff, kitchen). Each account is personal and non-transferable. The account holder is responsible for safeguarding their credentials and for any activity carried out under them.

The Customer warrants that the data provided at registration is true and complete and undertakes to keep it up to date. The Provider may suspend or terminate any account that engages in fraudulent activity, attempts to bypass security, or violates these terms.

4. Payments and billing

The SaaS application is offered through a monthly or annual subscription, billed in advance in euros (EUR). Plans, prices and any setup fees are published at /pricing and confirmed in the order summary at sign-up. There is no per-order commission.

Payment is processed via Stripe (or an equivalent EU-compliant payment provider). Failure to pay an invoice grants the Provider the right to suspend the Service after 15 days from the due date and to terminate the contract after 30 days, retaining all data for 6 months for possible reactivation.

Subscription cancellation takes effect at the end of the current billing period. No proportional refunds are due for partially used periods, except where required by mandatory law.

5. Limitations of liability

Within the limits permitted by law, the Provider's liability is capped at the total amount paid by the Customer in the 12 months preceding the event giving rise to the claim. The Provider does not assume liability for indirect damages, lost profits, business interruption, data loss attributable to operational error of the Customer, or events of force majeure.

The Customer is responsible for the accuracy of the menu, prices, allergen information and tax data published through the Service to its Guests.

6. Governing law and forum

These terms are governed by Italian law. For any dispute that cannot be resolved amicably, the Court of Milan has exclusive jurisdiction, except for mandatory consumer-protection forums where the Customer qualifies as a consumer under Italian Consumer Code.
